Your use and access of the Web Applications is contingent on your acceptance of these Terms. These Terms will apply to every person who accesses and/or uses the Web Applications, including visitors. Access and use of the Web Applications is only authorized for those who accept and agree to these Terms.

Your access and use of the Web Applications, means that you have read these Terms and acknowledge, understand and consent that such access and/or use may be intercepted, monitored, recorded, copied, audited, inspected, and disclosed to authorized Velocity and law enforcement personnel, as well as authorized individuals of other organizations at the discretion of Velocity’s personnel.
Unauthorized or improper use of the Web Applications may result in action being taken, civil charges/criminal penalties, and/or other action(s) as set forth in these Terms or other Velocity policies. By continuing to use the Web Applications you indicate awareness of and consent to these Terms.

Acceptable Use

You must be at least 18 years of age to use the Web Applications. By using this Web Application, you warrant that you are at least 18 years of age and can legally agree to and be bound by these Terms.  Minors are not permitted to use, access or register for any of our Web Applications unless legally emancipated and allowed by law to enter into and be legally bound by contracts and agreements or these Terms. These Terms apply to your use of the Web Applications and do not change or alter any other agreement or contract that may exist between you and Us.

 Velocity reserves the right, in its sole discretion, to modify or change these Terms at any time without prior notice to you and your continued use of the Web Applications following the posting of any changes to these Terms constitutes acceptance of those changes.

Jurisdictional Statement

The Web Applications are controlled, operated, and intended for use only in the United States of America. We do not represent the materials in the Web Applications are appropriate or made available for use outside of the United States of America. Information provided in the Web Applications is not intended for use or distribution in any jurisdiction or country in which the distribution or use would violate or be contrary to any law or regulation or would subject Velocity to any registration requirements of such jurisdictions or countries. To the extent that our Web Applications are accessed or used outside the jurisdictional limits in these Terms, compliance with any local or other laws, rules or regulations that may be applicable to such jurisdictions or countries is solely the responsibility and duty of such persons choosing to access or use the Web Applications in such other jurisdiction(s) or country(s).

Access and Use

Velocity’s Web Applications, which includes, but is not limited to, the technology, Website and other applications, support the business functions of Velocity, its officers, employees, independent contractor agents, and other persons, and may only be accessed or used by those with legitimate reasons including but not limited to current or active insurance policy or insurance claim and/or registered users of Velocity’s Web Applications (“Users”).

The Web Applications are provided on an “as is” basis. To the extent permitted by law, Velocity disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. Velocity does not warrant that the functionality or operation of the Web Applications will be uninterrupted or free from error, that any defects will be corrected, or they are free of viruses or other harmful conditions or components.

User Rules

1. You are responsible for maintaining the safety and security of your identifying information. You are also responsible for all activity that occurs while browsing.
2. Abide by and protect all software copyrights, trade secrets, patents or other intellectual property rights and comply with the terms of all licenses. 
3. Comply with all applicable third-party terms and agreement necessary for using Our Web Applications.
4. Close browser after each use.
5. You are not allowed to withhold information relating to an actual suspected security incident or interfere with an investigation of any suspected or actual security incident.

Prohibited Use

Velocity prohibits the use of its Web Applications for: (a) copying or redistributing any intellectual property that is a part of or included in the Web Applications; (b) using any graphics, logos, designs, page headers, button icons, scripts and service names that are registered trademarks, common law trademarks or trade dress that is the property of Velocity, agents, sub-contractors or its licensees in any way to promote, market, sell or otherwise profit from any similar services or products that would create or cause confusion in the public domain, or otherwise use in any way without the prior written consent or permission of Velocity; (c) any illegal or unauthorized activity or in any way that would violate any applicable law, regulation or rule; (d) deciphering, decompiling, disassembling or reverse engineering any of the software comprising or in any way making up a part of the Web Applications; (e) deleting the copyright or other proprietary rights notice from any Web Applications; and (f) engaging in any automated use of the Web Applications, such as using any data mining, robots or similar data gathering and extraction tools including, without limitation, any spider, robot (or "bot"), cheat utility, scraper or offline reader that accesses the Web Applications, or using or launching any unauthorized script or other software harassing, annoying, intimidating or threatening interfering with, disrupting, or creating an undue burden on the Web Applications or connected services.

Velocity reserves the right to take all technical steps available for violation of these Terms.
Nothing in these Terms is intended to grant any right nor does Velocity’s failure to enforce these Terms in any instance in which the Terms might apply amount to a waiver of Velocity’s rights to enforce these Terms or take any action for such violation of these Terms.

Access Termination

Velocity may block access to use its Web Applications immediately if you violate these Terms. If you provide any information that is untrue, inaccurate, not current, or incomplete, or Velocity has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete. Velocity has the right to suspend or terminate your access and refuse any and all current or future use by you of Our Web Applications (or any portion thereof).

User Data

Our Web Application will maintain certain data that you transfer to the Web Applications for the purpose of use of the Web Application and Our services, as well as data relating to your use of Our products and services. 

Although We perform regular routine backups of data, you are primarily responsible for all data that you have transferred or that relates to any activity you have undertaken using Our Web Applications. You agree that We shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against Us arising out of any such loss or corruption of such data.

Links in the Web Applications

If the Web Application contains links to other applications or website(s), they are provided only as a convenience and Velocity is not responsible for the privacy practices or Terms of Use for those sites, even if Velocity’s name or logo appears in those applications or on those sites. 

Velocity is not responsible for the contents of any linked site, other application or any link contained in a linked site.

Ownership of Materials and Restrictions on Use

The information in the Web Applications, along with any materials shared with you about Velocity services and insurance products, inclusive of any trademarks, logos or service marks, or copyrights, patents or other intellectual property rights are the property of Velocity, or its licensees, and must be protected from unauthorized access, reproduction, redistribution and use. 

Our Rights

We may have the right but not the obligation to:

1. Monitor the Web Applications for violations of these Terms.
2. Take appropriate legal action, in our sole discretion, against any person who violates these Terms, including without limitation, reporting such user to law enforcement.
3. In our sole discretion and without limitation, to refuse, restrict access to or availability of, or disable (to the extent technologically feasible) the Web Application or any portion thereof that may violate these Terms or any of our policies.

Otherwise manage the Web Applications in a manner designed to protect Velocity’s rights and property and to facilitate the proper functioning of the Web Applications.

WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF OUR WEB APPLICATIONS AND SERVICES, TO ANY PERSON FOR ANY REASON OR REMOVE OR BLOCK CERTAIN IP ADDRESSES TO COMPLY WITH THE LAW OR PROTECT OUR WEB APPLICATIONS’ INTEGRITY, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY OR COVENANT CONTAINED IN THESE TERMS, OR OF ANY APPLICABLE LAW OR REGULATION, AND WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE WEB APPLICATION AND OUR ONLINE SERVICES AT OUR SOLE DISCRETION.

Feedback and Comments

By using Our Web Applications you agree that any questions, comments, suggestions, ideas, feedback or other information you give about our Web Application, products or services are non-confidential and We shall be entitled to the unrestricted use and dissemination for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

Applicable Law

By using Our Web Applications, you agree that the laws of Tennessee will govern these Terms and use of the Web Applications, or any dispute of any sort that might come between Us and you, or Our business partners and associates.

Disputes

Any dispute related in any way to your visit to this Web Application or to products you purchase from Us shall be arbitrated by state or federal court in New York and you consent to exclusive jurisdiction and venue of such courts.

In the event that you have a dispute with any third party licensor associated with the Web Applications, you hereby release Us, Our officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or the Web Applications.

TO THE FULLEST EXTENT PERMITTED BY LAW, VELOCITY, ITS OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEB APPLICATIONS AND OUR SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Indemnity

You agree to defend, indemnify and hold Velocity, and Our respective officers, agents, partners and employees, harmless from and against, any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of use of the Web Applications, and/or arising from a breach of these Terms and/or any breach by you. Notwithstanding the foregoing, Velocity reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Us, and you agree to cooperate, at your expense, with Velocity’s defense of such claims. Velocity will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
